End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a legal agreement between you and Prism ("we," "us," or "our") governing your use of the Prism mobile application and related services (the "App"). By downloading, installing, or using the App, you agree to be bound by this Agreement.

1. License Grant

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App on devices you own or control, subject to the terms of this Agreement and the applicable app store terms of service.

2. Restrictions

You may not:

• Copy, modify, or distribute the App or any portion of it
• Reverse engineer, decompile, or disassemble the App
• Rent, lease, lend, sell, or sublicense the App
• Use the App for any unlawful purpose
• Remove or alter any proprietary notices in the App

3. Subscriptions

The App offers auto-renewable subscription plans (Pro and Studio). Payment is processed through Apple's App Store or Stripe depending on your platform.

• Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period
• You can manage and cancel subscriptions through your Apple ID account settings or the in-app billing portal
• Free trial periods, if offered, will convert to a paid subscription unless cancelled before the trial ends
• Pricing is displayed before purchase and may vary by region

4. Ownership

The App and all related intellectual property remain our exclusive property. This Agreement does not grant you any ownership rights in the App. You retain ownership of all content you create using the App, including quotes, rate cards, and client data.

5. Third-Party Services

The App integrates with third-party services including Clerk (authentication), Stripe (payments), Anthropic Claude (AI features), and Firebase (notifications). Your use of these services is subject to their respective terms and privacy policies.

6. Disclaimer of Warranties

The App is provided "as is" without warranties of any kind, either express or implied. We do not warrant that the App will be uninterrupted, error-free, or free of harmful components. Quotes and AI-generated content are provided as tools and should be reviewed before use.

7. Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the App, including but not limited to loss of profits, data, or business opportunities.

8. Termination

This Agreement is effective until terminated. We may terminate your license at any time if you breach this Agreement. Upon termination, you must stop using the App and delete all copies from your devices. Sections regarding ownership, disclaimers, and limitations of liability survive termination.

9. Changes to This Agreement

We may update this Agreement from time to time. Continued use of the App after changes are posted constitutes acceptance of the updated Agreement.

10. Governing Law

This Agreement is governed by the laws of the United States. Any disputes arising from this Agreement shall be resolved in the courts of the applicable jurisdiction.
